Please read these terms carefully before using SendLedger. By accessing or using our platform, you agree to be bound by these Terms and Conditions.

1. Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Zelvaa ("Company," "we," "us," or "our"), the operator of SendLedger (the "Platform" or "Service").
By creating an account, accessing, or using the SendLedger platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy, which is incorporated herein by reference.
If you do not agree to these Terms, you must immediately discontinue your use of the Service.
2. Description of Service
SendLedger is a business management platform that enables businesses to:
- Upload and manage customer contact lists
- Send invoices, payment reminders, and business communications via WhatsApp
- Connect and manage WhatsApp Business accounts through the Meta Cloud API
- Track message delivery and customer engagement
- Access business analytics and reporting dashboards
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any such changes.
3. Eligibility
To use SendLedger, you must:
- Be at least 18 years of age
- Be a registered business entity or an authorised representative of one
- Have the legal authority to enter into this agreement on behalf of your organisation
- Not be prohibited from using the Service under applicable law
- Comply with all applicable Indian laws, as well as Meta's WhatsApp Business Platform policies
SendLedger is intended for business use only. Consumer accounts are not supported.
4. User Accounts
When you register for SendLedger, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your login credentials strictly confidential
- Accept full responsibility for all activities that occur under your account
- Notify us immediately at support@zelvaa.com of any unauthorised use
We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a risk to the security of the platform.
5. Acceptable Use
You agree not to use SendLedger to:
- Send spam, unsolicited bulk messages, or any communications that violate anti-spam laws
- Upload or distribute malicious code, viruses, or any content that could harm the platform or its users
- Impersonate any person or entity or misrepresent your affiliation
- Collect, harvest, or store personal data of third parties without their explicit consent
- Violate Meta's WhatsApp Business Policy or any applicable messaging regulations
- Engage in any activity that is unlawful, fraudulent, or harmful
- Reverse-engineer, decompile, or attempt to extract the source code of our software
- Use the Service to send messages related to illegal goods, adult content, firearms, or hate speech
6. WhatsApp & Meta Integration
SendLedger integrates with Meta's WhatsApp Business Cloud API and uses the Facebook JavaScript SDK to provide messaging capabilities. By connecting your WhatsApp Business account, you additionally agree to:
- Meta's Terms of Service and WhatsApp Business Policy
- Meta's Messaging Guidelines, including opt-in requirements for your message recipients
- Only send messages to customers who have explicitly opted in to receive communications from your business
- Be solely responsible for the content of all messages sent through the platform
We act as a Business Service Provider (BSP) facilitating access to Meta's API. We are not responsible for WhatsApp API downtime, message delivery failures, or changes to Meta's platform policies.
7. Customer Data
You retain full ownership of all customer data (names, phone numbers, email addresses, etc.) that you upload into SendLedger. By uploading this data, you:
- Grant us a limited, non-exclusive licence to process this data solely to provide the Service
- Represent that you have obtained all necessary consents from your customers to collect, store, and use their data for the purposes of your business communications
- Agree to comply with all applicable data protection laws, including India's Digital Personal Data Protection Act ("DPDPA") 2023

8. Fees & Payment
Certain features of SendLedger may be offered on a subscription or pay-per-use basis. If applicable:
- All fees are stated in Indian Rupees (INR) unless otherwise specified
- Fees are non-refundable unless otherwise stated in a separate agreement
- We reserve the right to change our pricing with 30 days' notice
- Failure to pay may result in suspension or termination of your account
- You are responsible for all applicable taxes, including GST
9. Intellectual Property
All content, software, designs, trademarks, and technology comprising the SendLedger platform are owned by or licensed to Zelvaa and are protected by applicable intellectual property laws.
Nothing in these Terms transfers any intellectual property rights to you. You are granted a limited, revocable, non-exclusive, non-transferable licence to use the Service solely for your internal business purposes, subject to these Terms.
10. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied, including but not limited to:
- Fitness for a particular purpose
- Uninterrupted or error-free operation
- Accuracy or completeness of any information provided
- That the platform is free from viruses or harmful components
We do not warrant the reliability or legality of third-party services (including Meta / WhatsApp) connected to or through SendLedger.
11. Limitation of Liability
To the maximum extent permitted by applicable law, Zelvaa and its directors, employees, partners, and agents shall not be liable for any:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, goodwill, or business opportunities
- Damages resulting from third-party actions, including Meta / WhatsApp service disruptions
- Damages resulting from unauthorised access to your account due to your own negligence
In all cases, our maximum aggregate liability shall not exceed the amount you paid to us in the three (3) months preceding the event giving rise to the claim.
12. Termination
You may terminate your account at any time by contacting us at support@zelvaa.com.
We reserve the right to terminate or suspend your access to the Service, with or without cause and with or without notice, effective immediately, including but not limited to:
- Breach of these Terms
- Violation of Meta's messaging policies
- Non-payment of applicable fees
- Any conduct that we believe is harmful to other users, the platform, or third parties
Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including IP rights, disclaimers, and limitations of liability) will continue to apply.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in India.

14. Changes to Terms
We reserve the right to update these Terms at any time. When we make material changes, we will:
- Update the "Last updated" date at the top of this page
- Notify you via email or an in-app notification
- Where required by law, seek your explicit consent
Continued use of the platform after changes take effect constitutes your acceptance of the revised Terms.
